TSA (Technical Services Agreement)

Definition

A Technical Services Agreement is the brand contract covering a hotel's design and construction phase, under which the operator reviews and approves the project against its brand standards for a separate fee.

Also called: Technical Services Agreement · Technical services

In practice

The TSA governs the years before the hotel opens. The operator reviews the architect's drawings and checks that layouts, guest rooms, kitchens and back-of-house meet brand standards, guiding the owner toward an efficient, brand-compliant building. The logic is sound, and handled well it prevents expensive rework.

The distinction owners most often miss is that the operator reviews and approves; they do not design the hotel. The architects, engineers and consultants remain responsible for the design itself and for compliance with local codes. The operator checks it against their standards.

Because it is signed early, when everyone is optimistic and eager to start construction, the TSA attracts far less negotiation than the management agreement — despite carrying its own significant fee, usually a lump sum or a schedule tied to design milestones.

Why it matters to an owner

The TSA and the management or franchise agreement are two halves of one relationship and should be negotiated together. The leverage an owner holds while the operator is still competing for the hotel applies to both; signing the TSA quickly to get started is how that leverage is given away.
